Field of Membership Expansions
ICUL Compliance is there when credit unions need a hand developing and submitting State and Federal Field of Membership expansion application packages for regulatory approval. This includes community, associational and occupational common bond requests.
Need merger help? Whether simple or complex, state or federal, we provide extensive consultation with management officials and board members to review the advantages and disadvantages of a potential merger, along with the best strategic approach when seeking regulatory approval.
ICUL Compliance provides direct consultation with executive management teams and boards of directors. This enhances your chain of command structure and optimizes operational decision-making in your financial institution.
If you could use help with conversion from a federal charter to a state charter or vice versa, ICUL provides in-depth analysis working with credit union management officials and boards of directors. We discuss the pros and cons of converting to either a federally chartered credit union insured and chartered by NCUA, a federally insured state chartered credit union (FISCU) or a privately insured state chartered institution with ASI share insurance.
Get assistance with conversion from federal (NCUA) to private share insurance (ASI) or conversion from ASI to NCUA. We’ll give you a comprehensive analysis and work with credit union management officials and boards of directors. Together, we discuss the pros and cons of converting share insurance given your CU’s unique structure and operational environment.
Hart-Scott-Rodino Act Analysis
The HSR Act was designed to provide the FTC and the Antitrust Division of the Department of Justice (DOJ) with the opportunity to review mergers and acquisitions before they happen. They do this to determine whether a proposed merger or acquisition may violate applicable antitrust laws if it’s consummated.
If your credit union is undergoing a merger, ICUL conducts an analysis and a careful balance sheet review of your assets to identify under applicable FTC rules which assets are HSR exempt and non-exempt. A report is then issued for inclusion in the NCUA merger submittal packet.
