Hart-Scott-Rodino Act Analysis
The HSR Act was designed to provide the FTC and the Antitrust Division of the Department of Justice (DOJ) with the opportunity to review mergers and acquisitions before they happen. They do this to determine whether a proposed merger or acquisition may violate applicable antitrust laws if it’s consummated.
If your credit union is undergoing a merger, ICUL conducts an analysis and a careful balance sheet review of your assets to identify under applicable FTC rules which assets are HSR exempt and non-exempt. A report is then issued for inclusion in the NCUA merger submittal packet.
